Welcome to NoDey Social! By accessing or using our platform and social content creation services, you agree to be bound by the following Terms of Service. Please read them carefully.

1. Acceptance of Terms

By using NoDey Social, you agree to these Terms of Service, our Privacy Policy, and any additional terms that may apply. If you do not agree, please do not use the Service.

2. Description of Service

NoDey Social provides social media content creation and editing services, including but not limited to short-form video editing, carousel design, thumbnail creation, and caption graphics. Services are provided on a subscription basis.

3. User Accounts

To access our services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 16 years old to use our platform.

4. Content Ownership

You retain full ownership of all content you upload and all finished content we create for you. By uploading content, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service. Once delivered, all rights to the finished content belong to you.

5. Prohibited Use

You agree not to use the service to:

• Upload or share unlawful, harmful, defamatory, or offensive content.
• Infringe on the intellectual property rights of others.
• Submit content that violates the terms of social media platforms.
• Attempt to reverse engineer or disrupt the platform.
• Resell or redistribute our services without authorization.

6. Intellectual Property

All branding, website content, and software associated with NoDey Social (excluding user content and delivered work) are owned by or licensed to NoDey Social and are protected by copyright and other laws.

7. Termination

We reserve the right to suspend or terminate your access to the services at our discretion and without notice if you violate these Terms. You may cancel your subscription at any time through your account settings.

8. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We do not guarantee that the services will be error-free or uninterrupted, or that content will achieve specific results on social media platforms.

9. Limitation of Liability

To the fullest extent permitted by law, NoDey Social shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the services. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Payments & Subscriptions

All payments are processed securely by Stripe, a PCI-DSS Level 1 certified service provider. Charges are displayed in euros (EUR) unless otherwise stated. By purchasing a subscription you authorize us (and Stripe on our behalf) to charge your selected payment method for the applicable amount, including any taxes.

VAT: Prices may exclude VAT. Where required by law, VAT will be applied based on your billing country. Your invoice will clearly display any VAT charged. If you are VAT-registered, you may be able to claim input VAT according to your local regulations.

11. Refunds & Cancellations

You may cancel your subscription at any time. The subscription will remain active until the end of the current billing period. Refunds for partial months are not provided. For unused subscription periods, refund requests may be considered on a case-by-case basis within fourteen (14) days of purchase. To request a refund, email support@ndey-social.com from the address associated with your account.

12. Chargebacks & Disputes

If you initiate a chargeback or payment dispute, we may suspend your account until the matter is resolved. We reserve the right to contest any illegitimate chargebacks and to recover any associated fees.

13. Security & Payment Processing

We do not store complete credit-card numbers or CVC codes on our servers. All payment information is transmitted directly to Stripe via industry-standard encryption. You acknowledge and agree that Stripe is solely responsible for the security of your payment data.

14. Indemnification

You agree to indemnify and hold harmless NoDey Social and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of or related to (i) your violation of these Terms, (ii) the content you upload, or (iii) your misuse of the services.

15. Changes to Pricing or Terms

We may modify our prices, billing structure, or these Terms at any time. Any changes will become effective at the start of the next billing cycle following notice to you via email or through the service. Continued use of the services after changes implies acceptance.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, and you agree to submit to the exclusive jurisdiction of the courts of Vienna, Austria.
